We own the Services, including software, documentation, and content. You agree not to copy or use our materials except as allowed in these Terms.

You retain ownership of any data or content you submit to the API. Upriver owns all data, results, and materials returned by or generated through the API, as well as all aggregated, derived, or de-identified data, insights, and analytics created through operation of the Services.


7. Changes to the Service

We may update, change, or stop offering any part of the Services at any time. We may also update these Terms occasionally. If we make meaningful changes, we will post the new version. Continuing to use the Services means you accept the updated Terms.


8. Termination

We may suspend or terminate your account if you violate these Terms or misuse the Services. You may stop using the Services at any time by closing your account.

No refunds will be given if your account is suspended or terminated for violating these Terms.


9. “As-Is” Disclaimer

We provide the Services “as is” without warranties of any kind. We do not guarantee uninterrupted service or error-free performance.

To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential damages or loss (including lost profits, lost data, or business disruption).

Our total liability for any claim arising out of or relating to these Terms shall not exceed the amount you paid to Upriver in the twelve (12) months preceding the event giving rise to the claim.


11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes will be handled exclusively in San Francisco County, California.


12. Feedback

If you choose to provide feedback or suggestions, you grant Upriver a perpetual, royalty-free, worldwide license to use that feedback for improving the Services.
