These Terms of Use (the “Terms”) explain how you can use our API and related services (“Services”). By signing up, accessing, or using our Services, you agree to these Terms.
If you do not agree, please do not use the Services.
1. Who We Are
We provide a business-to-business API that helps companies access and use data and insights. Our Services are intended for business use only.
2. Eligibility
- You must be at least 16 years old to use our Services.
- You are responsible for making sure you have the authority to use our Services on behalf of your business.
3. Accounts
- You need an account to access and use the API.
- You agree to provide accurate, current information when creating your account.
- You are responsible for keeping your login credentials secure.
- You may not share your account or access credentials with others.
4. Subscriptions & Payments
- Our Services are offered through subscription plans or usage-based billing (for example, credits or balance-based accounts).
- Payments are processed through a third-party payment provider.
If you are on a subscription plan:
- Subscription fees are billed in advance and are non-refundable.
- Subscriptions automatically renew unless you cancel.
- You may cancel anytime through your account settings, but cancellation does not provide a refund for the current billing period.
If you are on a usage-based plan:
- You will be charged based on your actual usage or upon topping up your balance.
- Unused balances may expire or become inactive after a defined period, as stated in your plan details.
- We may update our pricing or plans from time to time. Any changes will take effect at the start of your next billing cycle or upon your next balance renewal, as applicable.
5. Using the API
You may use the API only in lawful ways and in line with our documentation and usage guidelines.
You may not:
- Use the API for illegal or harmful purposes.
- Try to access or use systems or data you do not have permission for.
- Attempt to reverse-engineer, copy, or resell our Services or content.
- Share your account, keys, or credentials.
- Interfere with service performance or security.
- Exceed usage limits or abuse rate limits.
- Use the API in a way that violates privacy, data protection, or other laws.
License Grant
- Upriver grants you a limited, revocable, non-exclusive, non-transferable license to access and use the API solely for your internal business purposes in accordance with these Terms.
Data Retention & Workflow Use
- You may temporarily cache Upriver API responses for up to one (1) hour solely to complete the workflow or transaction for which the data was requested. After that period, you must delete cached data. Individual partner integrations may be subject to stricter terms as specified in separate written agreements.
- You are responsible for all activity under your account, including any data transmitted, requested, or processed via the API.
6. Intellectual Property
We own the Services, including software, documentation, and content. You agree not to copy or use our materials except as allowed in these Terms.
You retain ownership of any data or content you submit to the API. Upriver owns all data, results, and materials returned by or generated through the API, as well as all aggregated, derived, or de-identified data, insights, and analytics created through operation of the Services.
7. Changes to the Service
We may update, change, or stop offering any part of the Services at any time. We may also update these Terms occasionally. If we make meaningful changes, we will post the new version. Continuing to use the Services means you accept the updated Terms.
8. Termination
We may suspend or terminate your account if you violate these Terms or misuse the Services. You may stop using the Services at any time by closing your account.
No refunds will be given if your account is suspended or terminated for violating these Terms.
9. “As-Is” Disclaimer
We provide the Services “as is” without warranties of any kind. We do not guarantee uninterrupted service or error-free performance.
10. Limitation of Liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential damages or loss (including lost profits, lost data, or business disruption).
Our total liability for any claim arising out of or relating to these Terms shall not exceed the amount you paid to Upriver in the twelve (12) months preceding the event giving rise to the claim.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes will be handled exclusively in San Francisco County, California.
12. Feedback
If you choose to provide feedback or suggestions, you grant Upriver a perpetual, royalty-free, worldwide license to use that feedback for improving the Services.
